Unilever announced that, in regard to its October announcement about its 82% acquisition of Russian beauty company Concern Kalina, Unilever has obtained the necessary regulatory clearances in Russia and Ukraine and hascompleted the acquisition of 82% of the outstanding shares of Concern Kalina. The transaction will transform Unilever’s beauty business in Russia, giving it leading positions in skin care and hair care, as well as establishing a presence in oral care. It will also strengthen and rebalance Unilever’s portfolio and competitiveness in Russia, an emerging market with considerable potential and one of Unilever’s priority countries.

The amount paid to acquire the 82% stake is approximately RUB17.4 billion, approximately RUB0.7 billion higher than the amount previously announced, reflecting a number of adjustments in respect of cash equivalent items. The enterprise value for 100% of Concern Kalina is unaffected and remains approximately RUB25.9 billion. Also, Unilever plans to cause Concern Kalina to delist the shares from the Russian Trading System (RTS) and MICEX stock exchanges in December 2011.

On or about January 10th, 2012 Unilever will offer to acquire all of the remaining Concern Kalina shares in Russia. The price per share is expected to be RUB 4,267.92, as the highest price Unilever paid to the selling shareholders, but the final amount will be determined by Russian law. Concurrently, Unilever will offer to all holders of Concern Kalina’s American Depositary Shares (ADSs) and Global Depositary Shares (GDSs) a price per ADS/GDS equal to RUB 4,267.92, without interest and less any fees, currency conversion expenses, applicable taxes and government charges. This amount will be converted to U.S. dollars on or about the date that Unilever pays for the Concern Kalina shares tendered in the Russian offer and move the total sale forward.

In addition, if after consummation of the offer, Unilever and its affiliates own shares representing more than 95% of the outstanding shares of Concern Kalina, Unilever intends to purchase any Concern Kalina shares (including those represented by ADSs/GDSs) not owned by Unilever and its affiliates at a price determined by Russian law.

Avon Products, Inc. announced that in 2012 the company will separate the roles of chairman and CEO. The company said Andrea Jung, Avon's chairman and CEO, will be named executive chairman, and that a committee of the board of directors will work with Jung to undertake an external search for a CEO. Jung will continue to serve in her dual roles throughout the recruitment process and will work closely with the new CEO to assure a successful transition.

All Natural Makeup: Cosmetics Use Propylene Glycol


Many cheap cosmetics cause skin reactions, which are not produced when all natural makeup is used. To understand why one is a healthy makeup for skin and the other is not, we need to investigate the ingredients used.

Propylene glycol is one of the more common substances found in the cheaper more common cosmetics. It is used in skin products to prevent drying and is found in many other products applied to the body such as shampoos, lotions, deodorants, hair conditioners, cosmetics and even toothpaste. Interestingly the same substance is also to be found in cigarettes, car de-icer, paint, pet foods, brake fluid, anti-freeze, laundry deodorants and some processed foods.

Propylene glycol is an alcohol product from the fermentation of carbohydrates and yeast and there are slightly different versions depending on the use. This means the type found in industrial products is slightly different to that found in makeup.

The American Academy of Dermatologists produced a report in 1991 that indicated that small amounts of the substance in industrial form could cause skin irritation. A Material Safety Data Sheet has been produced on this chemical by the US Department of Health and Human Services that reports it can cause skin and eye irritation as well as headaches, intestinal problems and nausea as a result of significant exposure. Further studies indicate it is possible liver and kidney damage may also result.

Why is it used in cosmetics then?

Propylene glycol is cheap. It enables manufacturers of new low-cost cosmetics to claim their product reduces drying of the skin. The problem is of course that it also interferes with the skins natural processes.

Defending the substance, the PropyleneGlycol.org website states it in used in more than 4000 makeup products, giving lipstick its texture, ensures the foam in shampoo, combines the oil and water found in body lotions and ensures fragrances smell for longer. The site maintains there is very little toxicity in each product and that it is virtually impossible to take in more than very small quantities of propylene glycol.

The substance is employed in the transportation of active ingredients found in cosmetic products. PropyleneGlycol.org relates how the chemical rapidly changes into lactic acid and is excreted in the urine. The site also reports no ill effects from small amounts used in pharmaceuticals. To be fair, the regulatory bodies around the globe have listed the substance to be generally safe; the European Union has restricted its use to mainly non-food applications however.

The ongoing debate has not really addressed the subject of skin irritation. Chemicals that are foreign to the human body should always be treated with care and propylene glycol is no exception. The skin always needs to breathe to be healthy and many cheap cosmetics block the pores, preventing this from happening.

There are a significant number of people who do not wear any makeup whatsoever and the most common reason is skin irritation. Some evidence indicates this may be related to the use of propylene glycol in products.

The use of all natural makeup, often in the guise of mineral cosmetics, overcomes this problem by using natural ingredients to promote skin nutrition as the same time as making the wearer look good.

There seems to be some debate about the dangers or otherwise of propylene glycol, leaving makeup wearers to draw their own conclusions. On balance however it would seem, if you were looking for a healthy makeup for skin, the better choice would be all natural makeup.

Does your skin have blackheads or enlarged pores? Perhaps your problem is whiteheads. You may have tried all sorts of makeup cosmetics to cover up these skin blemishes, and spent plenty of money in the process. They do deliver what they promise, which is to cover up your problem. The trouble is that you will have to keep buying these make up cosmetics to hide the faults in your skin since they will never make the problem go away. It is best to focus on preventing them from forming on your face. Use a gentle face scrub everyday and buy a good quality toner. Reduce the amount oil in your food and try to improve your diet. No amount of beauty treatments will improve your looks if you do not eat healthy. Increasing the amount of water you drink and wash your face with plain water many times a day. Do not waste your hard earned money on makeup cosmetics to address these problems. There is no easy way around them and you will have to remove them physically if you want your skin to look smooth and flawless.
